The Women in Leadership Programme Agreement

We are thrilled that you have decided to invest in Cahla Women in Leadership Programme and pursue the success and fulfilment you, your team and organisation deserve. We are so looking forward to supporting you on your coaching journey.

To get the most out of the programme, it is important that we share an understanding of how we will work together. The Women in Leadership Programme services are provided under the terms of this document dated 30 September 2025. 

This agreement sets out:

- Your legal rights and responsibilities

- The legal rights and responsibilities of Cahla Limited

- Certain key information required by law

1. Introduction

1.1 By signing this document you agree to be legally bound by the terms of this agreement. 

1.2 You also agree to be legally bound by the Cahla Limited website privacy policy: https://www.wearecahla.com/privacy-policy 

1.3 You have viewed and are in agreement with The Women in Leadership Programme Policy: https://wearecahla.com/programme-policy 

2. Definition of Coaching

2.1 The International Coaching Federation (ICF) defines coaching as partnering with clients in a thought-provoking and creative process that maximises their personal and professional potential.

2.2 Coaching is designed to facilitate the creation and development of personal, professional, or business goals and to develop and carry out a plan for achieving those goals.

2.3 Coaching is a comprehensive process that may involve different areas of your life but does not involve the diagnosis or treatment of mental health concerns. It is your responsibility to seek such independent professional guidance as needed. If you are currently under the care of a mental health professional, we encourage you to inform the mental health care provider of your participation in the programme.

2.4 The Women in Leadership Programme is delivered in a blended learning experience including one-to-one coaching, eLearning, video, personal reflection, and group training sessions, whereby coaching competencies, tools, information and guidance is shared, facilitated and practised in an interactive and engaging way.

2.5 The Cahla Coaching team commit to using the ICF Core Competencies to coach, train, champion, and challenge you to develop as a coach and coach-like leader.

2.6 ICF Core Competencies include: 1. Demonstrates Ethical Practice. 2. Embodies a Coaching Mindset. 3. Establishes and Maintains Agreements. 4. Cultivates Trust and Safety. 5. Maintains Presence. 6. Listens Actively. 7. Evokes Awareness. 8. Facilitates Client Growth. Core Competencies will be explored, discussed and practised in every session.

2.7 Although this programme refers to ICF and the ICF Core Competencies throughout, this programme is not an ICF accredited programme and Cahla Limited cannot guarantee that this programme will be accepted by ICF as ICF coaching education or ICF coach-specific training.

3. Participation

3.1 Success in the Women in Leadership Programme requires full commitment by all participants. By enrolling in this programme, you agree to being fully present during all sessions and participate to the best of your ability. This includes arriving on time, abiding by the code of conduct, and engaging in programme activities.

3.2 If you are interested in an ICF certification, in order to provide you with the required training hours for certification, it is important that you are present at all group sessions.

3.3 If you have an emergency or become ill and are not able to attend a one-to-one coaching session or group session, please contact the Director of Education immediately. You will be expected to complete the session materials, review the session recording, and meet with your buddy to reflect on the session and coach each other outside the live session to make up for the missed session.

3.4 If you need to miss more than two group sessions, you will need to work with one of the instructors to cover the missed material at your own expense.

3.5 If you are interested in an ICF accreditation you will have the opportunity to sign up to a Cahla ICF Mentoring Programme at an additional fee. 

3.6 Cahla ICF Mentoring Programmes involves 10 hours of mentor coaching: 7 hours of group mentoring and 3 hours of 1-1 mentoring. If you sign up to the ICF Mentoring Group, and miss any of the group mentoring sessions, you will need to arrange and pay for additional individual mentor coaching sessions to complete the required 10 hours of mentor coaching to satisfy the International Coaching federation requirements.

3.7 Petitions to this policy are considered on a case-by-case basis and must be submitted in writing to the Director of Education. 

3.8 This programme is designed to be interactive and engaging for our participants. It is therefore an expectation that you participate in course activities, including dialogue with the programme instructors and peers, coaching activities, and experiential learning exercises. If you are unable to participate in an activity, please inform The Director of Education as soon as possible. Please refer to the Code of Conduct (3.9 below) for additional details.

3.9 You are expected to conduct yourself in a professional manner during all sessions. This includes, but is not limited to:

- Arriving on time to all virtual sessions and staying for the duration.

- Attending all group sessions, one-to-one coaching sessions and, if opted in, mentor coaching sessions.

- Having your camera on for all virtual sessions.

- Participating fully in all sessions. This includes being prepared for the session by completing eLearning materials and activities before the session, involving yourself in discussions and activities, assuming responsibility for your learning, and contributing to the learning of others and sharing your progress on the Women in Leadership Portal. 

Engaging in discussions with integrity and honesty.

- Being respectful of your fellow participants and instructors, including silencing your phone and computer/laptop, not texting, emailing and other disruptive behaviours.

- Abiding by the programme Ground Rules which include being brave, kind, honest, present, curious and respectful. 

3.10 You are responsible for learning, practising and implementing tools, skills and actions resulting from the programme. For this reason, we cannot guarantee any specific outcomes as the results are entirely dependent on your commitment and proactivity.

4. Confidentiality

4.1 Cahla Limited adheres to and emphasises the ICF Code of Ethics. The ICF Code of ethics describes the ICF core values, ethical principles, and standards of behaviour for all ICF professionals. In accordance with the Code of Ethics, all information shared by you will be kept confidential, except when releasing such information is required by law and/or when instructors consider it necessary to do so because of risk to you or others.

4.2 By signing this contract, you agree to topics being shared anonymously and hypothetically with other coaching professionals for training, supervision, mentoring, evaluation, and for professional development and/or consultation purposes, according to the ethics of the coaching profession.

4.3 ICF accredited coaches engage in training and continuing education pursuing and/or maintaining International Coaching Federation (ICF) Credentials. This process requires the names and contact information of all clients for possible verification by ICF. By signing this contract, you agree to have your name, email address, and start and end dates of the programme shared with ICF staff members and/or other parties involved in this process for the sole and necessary purpose of verifying the coaching relationship, no personal notes will be shared.

4.4 Coaches may take notes to assist in tracking your progress. These notes will be kept confidential and stored securely.

(a) Physical notes will be stored in a locked cabinet and will be shredded upon the completion of the Programme. 

(b) Digital notes will be stored in a password-protected file only accessible by authorised members of the Coach Limited team.

4.5 Typed information regarding your progress may be emailed to you at your request to the email account you provide for ongoing learning and development. 

4.6 Information you share will be kept confidential, except if a Cahla Coach is required to disclose such information by law or if a Cahla Coach considers it necessary due to a risk of imminent harm to you or others.

4.7 You agree to anonymous verbal and written testimonials and impact data arising from the programme to be shared in Cahla Limited marketing materials to showcase programme results. Testimonials will be kept anonymous unless your written consent to release has been given.

4.8 Cahla Limited reserves the right to share your organisation’s logo in Cahla Limited marketing materials. 

4.9 Cahla Limited will not give your personal information to any third parties without your written consent.

4.10 You have the option to sign up to the Wellspring by Cahla weekly newsletter to receive additional resources and updates. This consent is entirely voluntary and is not a programme requirement. 

5. Intellectual Property

You acknowledge that resources and materials that Cahla Limited provides and the Intellectual Property Rights within them are the exclusive property of Cahla Limited. You agree not to incorporate these materials into your own educational programmes or materials, on social media or share them with third parties without explicit prior written consent from the Director of Education.

6. Delivering Services

6.1 The Cahla Coaching team consists of ICF certified coaches and ICF coaches-in-training who coach, train and observe and share feedback during practice sessions. 

6.2 Coaches shall carry out sessions with reasonable care and skill.

6.3 The programme must be completed within six months.

6.4 Sessions may be affected by events beyond Cahla Limited’s reasonable control, and if so, Cahla Limited shall make reasonable effort to limit the effect of any of those events. If they occur, you shall be kept informed. Examples of events which might be beyond reasonable control include coach illness, immediate family bereavement or IT issues.

7. Charges and Payment

7.1 The Programme fee is £1699 to sponsor an individual in your organisation and £1,200 for charities and self-funded places. All payment will be in GBP.

7.2 If you pay with a payment plan and you fail to make payment on the due date, Cahla Limited will invoice you immediately for the whole of the outstanding balance to be paid within 30 days.

7.3 You have the right to cancel this agreement within the cancellation period which is within seven days of signing by emailing the Director of Education. 

7.4 The cancellation period will expire seven days after the date of the signed agreement. 

7.5 However, if you confirm that you would like to take part in The Women in Leadership Programme during the seven-day cancellation period then the right to cancel will be gone. At this point, the refund policy set out in clause 7.7 will apply.

7.6 If you cancel this agreement in accordance with the seven-day cooling off period a full refund will be made within seven days, using the same method of payment used for the initial transaction, unless this has been communicated in writing otherwise. 

7.7 After the cancellation period, fees are non-refundable except in the unlikely event where the Women in Leadership Programme is cancelled. You will then be entitled to a partial refund for sessions paid for in advance and which you have not received.

7.8 You will not be refunded any fees made, where you do not complete the programme, as payment is for the programme in its entirety.

7.9 If you are unable to attend a one-to-one coaching session and fail to contact the Director of Education before the session, you may need to book an additional session at your own expense.

7.10 Modifications to registration may be considered on a case by case basis, including substitutions of participants. You may contact the Director of Education to request to modify your registration. 

7.11 Partial credit from other programmes may be considered. You may contact the Director of Education to request a partial credit transfer.

8. Resolving Problems

8.1 Cahla Limited seeks to ensure equitable treatment of every person and to attempt to solve any grievances in a timely and fair manner. You have the right to file a grievance regarding presentation or content or instructor behaviour. All grievances will be addressed to the best of our ability to prevent further problems. A process for filing grievances can be found in clause 8.2 below.

8.2 You should first attempt to resolve the issue directly with the instructor or participant with whom you have an issue. If you are not comfortable approaching the individual or are unable to resolve the issue directly, you should submit a written grievance to the Director of Education within seven days. The Director of Education will review the issue and talk to you within seven days of receiving the complaint. 

8.3 If you and the Director of Education cannot resolve a dispute and any party wants to take court proceedings, all parties agree that the courts of England and Wales have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this contract.

8.4 In the event of a dispute, all parties agree not to engage in any conduct or communications, including social media, designed to disparage any parties’ work, website, product, or services. This clause remains in effect after the termination of this Agreement.

9. End of Contract

9.1 Women in Leadership is a six month programme. Services will terminate at the end of this timeframe.

9.2 If Cahla Limited provides services to you on an ongoing basis, the terms of this contract apply and parties may terminate the services with one month’s written notice.

9.3 Any party may terminate this contract immediately if:

9.3.1 any party commits any material breach of the terms of this contract or a service agreement and, in the case of a breach capable of being resolved, the breach is not resolved within 30 days of a written request to do so. The written request must expressly refer to this clause and state that the services and this contract will be terminated if the breach is not resolved; or

9.3.2 any party commits or threatens to commit or is threatened with any act of insolvency under the Insolvency Act 1986.

9.4 If this contract is ended, it will not affect the right of Cahla Limited to receive payment due for services delivered.

9.5 A new legally binding contract will only be entered into when a written service agreement has been agreed by all parties.

10. Limited Liability

10.1 As stated in clause 3, Cahla Limited makes no guarantee or warranty with respect to the outcome of services provided. The success and any results are directly dependent on your own commitment, focus, and actions.

10.2 Except for any legal responsibility that cannot be excluded in law, Cahla Limited is not liable for any indirect, consequential, or special damages. In no event will Cahla Limited be liable for work or business losses, including but not limited to, loss of employment, demotion, pay reduction, loss of business, profits, management time, or business opportunities.

10.3 Cahla Limited’s entire liability and your exclusive remedy is limited to the amount of fees paid by you for the services.

11. Entire Agreement

11.1 This Agreement constitutes the entire agreement between the parties and supersedes all prior and contemporaneous agreements, whether oral or written, related to the subject matter of this Agreement.

11.2 Each party acknowledges that in entering into this Agreement, it does not rely on any statement, representation, or assurance that is not set out in this Agreement.

11.3 No amendment to this Agreement will be effective unless it is in writing and signed by all parties.

11.4 This Agreement may be executed in any number of counterparts, each of which will constitute an original, but all the counterparts will together constitute one single agreement.

11.5  No person who is not a party to this Agreement will have any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of this Agreement.

11.6 This Agreement and any dispute or claim arising out of or in connection with it will be governed by and construed in accordance with the laws of England and Wales. The parties irrevocably agree that the courts of England and Wales will have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this Agreement.

By submitting payment for the Women in Leadership programme, you are acknowledging agreement to these terms.
